1. Services Provided

Construct & Growth offers SEO services tailored to construction and trade companies. Our services may include, but are not limited to:

• Keyword research and optimization

• On-page and off-page SEO

• Technical SEO audits

• Content strategy and creation

• Link building

• Local SEO optimization

The specific services to be provided will be outlined in a separate agreement or proposal.

2. Client Responsibilities

To facilitate the effective delivery of our services, clients are expected to:

• Provide timely access to website analytics, CMS, and other relevant platforms.

• Supply necessary content, images, and branding materials.

• Review and approve deliverables promptly.

• Ensure that all provided materials do not infringe upon third-party rights or contain unlawful content.

3. Payment Terms

• Fees: Service fees will be detailed in the proposal or agreement.

• Invoicing: Invoices are issued monthly in advance and are payable within 14 days.

• Late Payments: Late payments may incur a 5% interest charge per 30-day period. Services may be suspended until payment is received.

• Additional Costs: Any additional costs (e.g., third-party tools, advertising spend) will be communicated and agreed upon before incurrence.

4. Term and Termination

• Term: The agreement commences on the effective date and continues on a monthly rolling basis.

• Termination: Either party may terminate the agreement with 30 days’ written notice. Immediate termination may occur if either party breaches the agreement and fails to remedy the breach within 14 days of notice.

5. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information disclosed during the term of the agreement. This obligation survives the termination of the agreement for a period of three years.

6. Intellectual Property

• Client Materials: Clients retain ownership of all materials provided to Construct & Growth.

• Deliverables: Upon full payment, clients are granted a non-exclusive, non-transferable license to use the deliverables produced by Construct & Growth.

• Company Tools: Construct & Growth retains ownership of its proprietary tools, methodologies, and processes.

7. Warranties and Disclaimers

Construct & Growth warrants that it will perform services in a professional manner consistent with industry standards. However, due to the nature of SEO, we do not guarantee specific rankings, traffic increases, or revenue improvements.

8. Limitation of Liability

Construct & Growth’s liability under this agreement is limited to the total fees paid by the client in the three months preceding any claim. We are not liable for indirect, incidental, or consequential damages, including loss of profits or data.

9. Indemnification

Clients agree to indemnify and hold harmless Construct & Growth from any claims, damages, or liabilities arising from:

• The client’s breach of this agreement.

• The client’s violation of applicable laws or third-party rights.

• Content provided by the client.

10. Governing Law

This agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under this agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Amendments

Any amendments to this agreement must be made in writing and signed by both parties.
